Privacy Policy

1. Who We Are

Bazardo is operated by Bazardo GmbH, Gothaer Str. 2-4, 40880 Ratingen, Germany ("we", "us", "our"), represented by Managing Director Nizamettin Dagdelen. We are the controller of your personal data as defined under the General Data Protection Regulation (GDPR).

2. What Data We Collect

When you use the Bazardo app or website, we may collect the following categories of personal data:

  • Account data: name, last name, company name, email address, VAT number, phone/mobile number, postal address
  • Order data: products ordered, quantities, prices, order notes, order status history
  • Technical data: IP address, device type, app version, operating system, access timestamps
  • Communication data: messages you send us via email or the request-account form

3. How We Use Your Data

We process your personal data for the following purposes:

  • Contract performance (Art. 6(1)(b) GDPR): account management, order processing, delivery coordination
  • Legal obligation (Art. 6(1)(c) GDPR): invoicing, tax records, anti-fraud compliance
  • Legitimate interest (Art. 6(1)(f) GDPR): improving the platform, detecting abuse, securing our systems
  • Consent (Art. 6(1)(a) GDPR): sending you product updates or newsletters, where you have opted in

4. Data Storage & Security

Your data is stored on servers located within the European Union. We implement appropriate technical and organisational measures (TLS encryption, access controls, regular backups) to protect your data against unauthorised access, loss, or alteration.

Authentication tokens used by the Bazardo app are stored in secure device storage (iOS Keychain / Android Keystore) and are never stored in plain text.

5. Data Sharing

We do not sell your personal data. We may share data with:

  • Logistics partners — only the delivery address and contact details required to fulfil your order
  • Payment processors — as necessary to process transactions (compliant with PCI-DSS)
  • Hosting & infrastructure providers — under data processing agreements that bind them to GDPR obligations
  • Authorities — where required by law or court order

6. Retention Periods

We retain your data only as long as necessary:

  • Account data: for the duration of your active account, then 3 years after the last order or account closure
  • Order & invoice data: 10 years to comply with German commercial law (HGB §257, AO §147)
  • Technical logs: up to 90 days

7. Your Rights

Under the GDPR you have the right to:

  • Access — obtain a copy of your personal data
  • Rectification — correct inaccurate or incomplete data
  • Erasure ("right to be forgotten") — request deletion where no legal retention obligation applies
  • Restriction — limit processing in certain circumstances
  • Portability — receive your data in a structured, machine-readable format
  • Object — opt out of processing based on legitimate interest or direct marketing
  • Withdraw consent — at any time, without affecting prior processing

To exercise any of these rights, email b2b@bazardo.de. We will respond within 30 days. You also have the right to lodge a complaint with the North Rhine-Westphalia data protection authority (Landesbeauftragte für Datenschutz und Informationsfreiheit NRW).

8. Cookies & Tracking

The Bazardo website uses only strictly necessary session cookies for navigation purposes. No advertising or third-party tracking cookies are set. The Bazardo mobile app does not use cookies.

9. Changes to This Policy

We may update this Privacy Policy from time to time. Material changes will be communicated to registered users via the app or email. Continued use of the platform after the effective date constitutes acceptance of the updated policy.

Terms & Conditions

1. Scope & Applicability

These Terms & Conditions ("Terms") govern access to and use of the Bazardo B2B wholesale platform, including the mobile application and this website (collectively the "Platform"), operated by Bazardo GmbH, Gothaer Str. 2-4, 40880 Ratingen, represented by Managing Director Nizamettin Dagdelen, VAT ID DE364164920 ("Bazardo", "we").

By registering for or using the Platform, you (the "Customer") agree to these Terms on behalf of the legal entity you represent. These Terms apply exclusively to B2B transactions between merchants. Consumer transactions (B2C) are not permitted and will be declined.

2. Account Registration

To place orders you must have an approved Bazardo business account. Account requests are reviewed manually and Bazardo reserves the right to approve or decline any application without providing a reason.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised access at b2b@bazardo.de

Sharing account credentials with third parties outside your organisation is prohibited.

3. Products & Pricing

All prices on the Platform are net prices (netto) excluding VAT and are quoted in Euros (€). Prices are subject to change without notice until an order is confirmed.

Product descriptions, images, and specifications are provided in good faith. We reserve the right to correct errors at any time before order confirmation. In case of a pricing error, we will notify you and give you the option to proceed at the correct price or cancel.

Wholesale products are offered in the categories: Kinderspielzeug (children's toys), Sport & Spiel (sports equipment), and Mode & Accessoires (fashion accessories). Each product may have multiple variants with individual article numbers, pricing tiers, and minimum order quantities.

4. Minimum Order Quantities & Pricing Tiers

Each product has defined minimum order quantities and step increments for each pricing tier. These are displayed clearly in the app and must be respected when placing an order. Orders not meeting the minimum will not be accepted.

Two pricing tiers are available:

  • Tier 1 (Standard): lower minimum, standard unit price
  • Tier 2 (Volume): higher minimum, discounted unit price

The selected pricing tier is locked at the time of order confirmation and cannot be changed retroactively.

5. Order Process & Contract Formation

An order placed through the Platform constitutes a binding purchase offer. A contract is formed when Bazardo accepts the order by changing its status to Accepted or Processing. Bazardo reserves the right to decline any order, for example due to stock unavailability or account irregularities.

Order confirmations are sent via the Platform's order status system. It is your responsibility to check the Orders tab in the app for status updates.

6. Payment

Payment terms are agreed upon account approval and are stated on your invoice. Default payment terms are net 14 days from invoice date unless otherwise agreed in writing.

Late payments are subject to default interest of 9 percentage points above the applicable ECB base rate in accordance with §288 BGB. Bazardo reserves the right to suspend account access for overdue accounts.

7. Delivery

Delivery is made to the address registered on your account. Delivery times are indicative and not guaranteed. Risk of loss passes to the Customer upon handover to the carrier (EXW Incoterms, unless otherwise agreed).

In the event of stock shortages after order acceptance, we will notify you and offer a partial fulfilment or cancellation of the affected items.

8. Returns & Complaints

Statutory warranty rights apply. To report a defective or incorrectly delivered product, contact b2b@bazardo.de within 5 business days of delivery, including your order number and photographs of the defect.

Bazardo does not accept returns for reasons of buyer's remorse or change of mind. Returns are accepted only for defective goods or fulfilment errors.

9. Intellectual Property

All content on the Platform — including but not limited to text, images, product descriptions, logos, and software — is the property of Bazardo or its licensors and is protected by applicable intellectual property law. You may not reproduce, redistribute, or exploit any content without prior written consent.

10. Limitation of Liability

To the extent permitted by law, Bazardo's liability is limited to direct damages caused by wilful misconduct or gross negligence. We are not liable for indirect damages, lost profits, or business interruption.

The Platform is provided "as is". We do not warrant uninterrupted availability and reserve the right to carry out maintenance at any time.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes is Ratingen / Düsseldorf, Germany, provided the Customer is a merchant (Kaufmann) under German law.

12. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated to registered users with at least 30 days' notice via the app or email. If you do not object within 30 days of notification, the updated Terms are deemed accepted. You always have the right to terminate your account before the new Terms take effect.
